MAINTENANCE SERVICES AGREEMENT
WITH
BPR, INC.
This Amendment Number One ("Amendment") is dated July 3, 2025, ("Effectaive
Date"), by and between the CITY OF COSTA MESA, a municipal corporation ("City") and
BPR, Inc. a California Corporation ("Contractor").
WHEREAS, City and Contractor entered into an agreement on June 6, 2023, for
Contractor to provide maintenance of City Property (the "Agreement"); and
WHEREAS, Section 4.1 of the Agreement provides for a term of two (2) years,
ending on June 30, 2025, with the option to extend the Agreement for up to a maxaimum
of three additional one-year periods upon mutual written agreement of both partaies; and
WHEREAS, City and Contractor now desire to extend the Agreement an addaitiona)
one (1 ) year through June 30, 2026.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties agree as follows:
4. The foregoing recitals in this Amendment are hereby declared to be true
and correct and are incorporated as if fully set forth herein.
2. The term of the Agreement shall be extended through June 30, 2026.
3. All terms not defined herein shall have the same meaning and use as set
forth in the Agreement, as amended.
4. All other terms, conditions, and provisions of the Agreement, as amended,
shall remain in full force and effect.
5. This Amendment may be executed in one or more counterparts, each of
which shall be deemed an original. All counterparts shall be construed
together and shall constitute one agreement.
