l:HEREAS, the Costa ",;esa County Water District Planning Committee has
submitted to this Council, as a member thereof, a certain proposed agreement by and
between the said Costa Mesa Water District Planning Committee and Rutan, Lindsay,
Dahl, Smedegaard, Howell R•. Tucker, Attorneys at Law, for certain legal services to
be rendered by said attorneys at law to said committee, all as set forth in proposal
of avreement dated March 5th, 105Q, whicb is attached hereto and by reference made
a part hereof; and
IJFFPFAS, this Council deems it to be in the best interest of the City that
said agreement be approved, ratified, and confirmed;
NOW, TI-TERE.,"FORE?, BE IT RhSCLVED, by the City Council of the City of Costa
Mesa that said proposed agreement between tre Costa Mesa County Water District
Planning Committee and Putan, Lindsay, Dahl, Smedegaard, Howell & Tucker, Attorneys
at Law, be, and the same i_s hereby, approved, ratified and confirmed; and
BE IT E"-)RTTiEP RESOLVED, that the City Clerk of the City of Costa Mesa is
hereby directed to transmit an executed copy of this Resolution to the oosta TTesa
County Water District Planning Committee.

Gentlemen:
You have conferred with our office concerning retaining us
as legal counsel for the Costa Mesa County Water District
Planning Committee. This Committee is created pursuant to
an agreement between the City of Costa Mesa, Fairview
County Water District, Newport Mesa County Water District,
and Newport Heights Irrigation District, for the purposes
as set forth therein.
We agree to render any and all legal services requested by
your Committee upon the following basis:
(1) For a period of three months after authorization from
your Committee, we will render legal services for you at the
rate of $250.00 per month. At the end of three months the
Committee and ourselves may re-examine the compensation struc-
ture and make any adjustments mutually agreed upon; or
(2) In the event our legal services during any month of
the above term amount to less than $250.00 at the rate of
$25.00 per hour, we will bill you for the smaller amount.
In no event, however, shall you be billed for a greater amount
than $250.00 for services rendered during any month of the
three months period.
Any actual expenses in making or purchasing copies of docu-
ments, records or other cost items to us, which your Committee
has first approved, shall also be paid by you.
It is our understanding from the preliminary meeting with
your Committee that the major effort of our firm will be in
two phases. The first phase would be to develop as soon as
possible a plan for accomplishing the purposes of the Comm-
ittee. The second phase would involve implementing of the
plan first referred to in order to accomplish the same as
quickly and reasonably as possible..

Pursuant to the provisions of Section 8 of the agreement
creating your Committee, we would recommend that a resolu-
tion should be placed uponthe Minutes of each of your
organizations approving the proposal heretofore made, in
the event your different organizations wish to employ us.
