HomeMy WebLinkAbout471 - Orange County Fair - Police and Fire Security71c, RESOLUTION NO. 471 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COSTA MESA AUTHORIZING THE EXECUTION OF AN AGREEMENT BY AND BETWEEN THE CITY OF COSTA MESA AND THE 32ND DISTRICT AGRICULTURAL ASSOC- IATION FOR POLICE AND FIRE SECURITY REQUIREMENTS FOR THE 1958 ORANGE COUNTY FAIR. WHEREAS, there has been presented to the City Council of the City of Costa Mesa a certain agreement dated April 16th, 1958, by and between the City of Costa Mesa and the 32nd District Agricultural Association, for the furnishing of Police and Fire Security Requirements by the said City for the 1958 Orange County Fair; and WHEREAS, said services are to start May 21, 1958, and extend through June 2, 1958, for an agreed upon compensation of $3,780.00 to be paid the City by the said 32nd District Agricultural Association; and WHEREAS, this Council deems it to be in the best interest of the City that the said agreement be approved, ratified and confirmed; NOW, THEREFORE, -PE IT RESOLVED, that said agreement dated April 16th, 1958, by and between the City of Costa Mesa and the 32nd District Agricultural Association for Police and Fire Security requirements at the 1958 Orange County Fair, be, and the same is hereby, ratified, approved and confirmed by the City Council of the City of Costa Mesa; and BE IT F[TR.THER RESOLVED, that the City Manager of the City of Costa Mesa is hereby authorized to simn said agreement on behalf of the City of Costa Mesa. The Contractor agrees to indemnify and save harmless the State, its officers, agents and employees from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, materialmen, laborers and any other person, firm or corporation furnishing or supplying work, services, materials or supplies in connection with the performance of this contract, and from any and all claims and losses accruing or resulting to any person, firm or corporation who may be injured or damaged by the Contractor in the performance of this contract. The Contractor shall provide necessary workman's com- pensation insurance at Contractor's own cost and expense. 3. The parties hereto agree that the Contractor, and any agents and employees of Contractor, in thV performance of this agreement, shall act in an independent capacity and not as officers or employees or agents of State of California. 4. The State may terminate this agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination the State may proceed with the work in any manner deemed proper by State. The cost to the State shall be deducted from any sum due the Contractor under this agreement, and the balance, if any, shall be paid the Contractor upon demand. S. This agreement is not assignable by Contractor either in whole or in part. 6. Time is of the essence of each and all the provisions of this agreement, and the provisions of this agreement shall extend to and be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and assigns of the respective parties hereto. 7. It ismunderstood and agreed that no alteration or variation Pt the terms of this contract shall be valid unless made in writing and signed by the parties hereto, and that no oral understandings or agreements not incorporated herein, and no alterations or variations of the terms hereof unless made in writing between the parties hereto shall be binding on any of the parties hereto.
