This Right of Entry for Construction of Block Wall and Maintenance Agreement is made and
entered into this �t~day of �u:�� , 2001, by and between Ellen Peck, hereinafter
referred to as OWNER and the City of Costa Mesa, hereinafter referred to as CITY.
RECITALS
VVHER�AS, OWNER is the owner of certain real property located at

more particularly described in Exhibit "A" attached hereto and incorporated herei❑ by reference,
hereinafrer referred to as PROPERTY; and
WHER�AS, CITY plans to construct a block wall on or near the existing right-of-way line of
Harbor Boulevard adjacent to PROPERTY as shown on Exhibit "A" attached hereto and incorporated
herein by re'ference; and
WHEREAS, CITY intends to construct said block wall on PROPERTY with the full
intention ofrelinquishine o�mership of said block wall to OWNER; and
�'FiEREAS, O�xINER, in exchange for CITY'S agreement ?o build said block «�all, intends
to accept responsibility to fully maintain said block wall located on OWNER'S PROPERTY; and
WIIEREAS, OWNER desires to grant a right of entry to CITY to enrer upon PROPERTY for
the sole purpose of site assessment, and any other activities related to the construction of said block
wall; and
WHEREAS, OWI�TER and CITY desire to enter into an a�reement to allow right of entry by
CITY onto PROPERTY, for CITY to construct said block wall. and for said block wall to be
relinquished to OWNER and for OWNER to be responsible for mainrenance of said block wall.
NOW, THEREFORE, for and in consideration of the covenants herein contained, performed
and to be performed, the parties hereby a�ree as follows:

1. OWNER hereby permits CITY to enter upon PROPERTY for the sole purpose of site
assessment, soils testing and any other activities relating to the construction of the block
wall described herein. The righ't of endy shall be granted by OWNER to CITY at no cost
to CITY. The right of entry �vill remain in effect until the completion of construction of
the block wall. Entry ���ill be accomplished by employees of CITY and/or firms acting as
agents for CITY.
2. CITY agrees to indemnify and hold OWNER harmless against all claims for damage or
liability arising from entry onto PROPERTY for the purpose of constructing said block
wall, except that OWNER shall be solely responsible for the repair and/or replacement of
any personal property or landscaping that is damaged as a result of entry onto
PROPERTY. For purposes of this Agreement, "landscaping' shall include, but not be
limited to, any plant material, ]aH�n, ground cover, trees, shrubs, and shall also include
any hardscape, which is integral to the landscaping, such as brick, wood, stone or plastic
borders and decorative planters, stepping stones, statuary and fountains.
3. CITY agrees to construct upon PROPERTY a block wall as described in Exhibit "A".
The construction of said block wall shall be at no cost to OWNER.
4. Upon completion of the block wall, ownerslup thereto shall be vested solely in OWNER.
OWNER shall, at it's sole cost and expense, repair and maintain said block wall, keeping
same in a condition comparable to the condition of such block wall at the time of its
initial construction, excepting onl}� normal wear and teaz.
5. If all or any portion of the block w-all is damaged or destroyed for any reason, it shall be
OWNER'S duty, with all due diligence, to rebuild, repair, or reconstruct said block wall
in a manner which will substantially restore it to its appearance and condition
immediately prior to the damaee or destruction. Reconstruction shall be undertaken
within two (2) months after the dama�e occurs, and shall be completed within four (4)
months afrer the damage occurs, unless prevented by causes beyond the control of
OWNER.
6. In the event that OWNER fails to repair, maintain or rebuild the block wall as provided in
this Agreement, CITY may, at its sole option, repair, maintain or rebuild said block wall

7. This Agreement shall continue in full force and effect and shall be binding upon and
inure to the benefit of OWNER and OWNER'S successors and assigns; as long as
OWNER or his/her successors and assigns maintains o�imership of the subject wall and
the PROPERTY.
8. OWNER agrees, by the siening, acceptance and recordation of this Agreement, the terms
and conditions herein set forth shall be binding upon and inure to the benefit of 0 WNER
and CITY.

9. The provisions of this Agreement are cumulative and in addition to, and not in limitation
of, any other rights or remedies available to CITY.
10. No supplement, modification or amendment of this Agreement shall be binding unless
executed in writing and signed by OWNER and CITY.
I 1. In the event that litigation is brought by any party in connection with this Agreement, the
prevailing paRy shall be entitled to recover from the opposing party all costs and
expenses, including attorney's £ees, incuned by the prevailing party in the exercise of any
of its rights or remedies hereunder or the enforcement of any of the terms, conditions, or
provisions hereof.
12. This Agreement shall be govemed by the laws of the State of Califomia. Venue shall be

13. Each party warrants that the individuals who have signed this Agreement have the legal
power, right, and authority to make this Agreement and bind each respective party.
