BLOCK WALL RIGHT OF ENTRY, CONSTRUCTION ENGIfdEERlf� , N�
AND MAINTENANCE AGREEEMENT
This Righi f�y for C nstruction of lock Wall and Maintenance Agreement is made and
entered into this �� day of ' , 2001, by and between Myra J. Manahan, hereinafrer
referred to as OWNER, and the ity of Costa Mesa, hereinafrer referred to as CITY.
RECITALS
�� �� RE , O is the owner of certain real property located at
, in the City of Costa Mesa, County of Orange, State of California,
more particularly described in E�ibit "A" attached hereto and incorporated herein by reference,
hereinafrer refened to as PROPERTY; and
WHEREAS, CITY plans to construct a block wall on or near the existing right-of-way line of
Hazbor Boulevard adjacent to PROPERTY as shown on Exhibit "A" attached hereto and incorporated
herein by reference; and
WIIEREAS. CITY intends to construct said block wall on PROPERTY with the full
intention of relinquishing ownership of said block wall to OWNER; and
WIiEREAS, OWNER, in exchange for CITY'S agreement to build said block wall, intends
to accept responsibility to fully maintain said block wall located on OVdNER'S PROPERTY; and
WIIEREAS, OWNER desires to grant a right of entry to CITY to enter upon PROPERTY for
the sole purpose of site assessment, and any other activities related to the construction of said block
wall; and
WHEREAS, OWNER and CITY desire to enter into an agreement to allow right of entry by
CITY onto PROPERTY, for CITY to construct said block wall, and for said block wall to be
relinquished to O WI��ER and for O WNER to be responsible for maintenance of said block wall.
NOW, THEREFORE, for and in consideration of the covenants herein contained, performed
and to be performed, the parties hereby agree as follows:
OWNER herebti� permits CITY to enter�upon PROPERTY for the sole purpose of site
assessment, soils testing and any other activities relating to the construction of the block
wall described herein. The right of entry shall be granted by OWNER to CITY at no cost
to CITY. The right of entry will remain in effect until the completion of construction of
the block wall. Entry will be accomplished by employees of CITY and/or firms acting as
agents for CITY.
2. CITY agrees to indemnify and hold OWNER hannless against all claims for damage or
liabiliry arising from entry onto PROPERTY for the purpose of constructing said block
wall, except that OWNER shall be solely responsible for the repair and/or replacement of
any personal property or landscaping that is damaged as a result of entry onto
PROPERTY. For purposes of this Agreement, "landscaping" shall include, but not be
lnnited to, any plant material, lawn, ground cover, trees, shrubs, and shall also include
any hardscape, which is integral to the landscaping, such as brick, wood, stone or plastic
borders and decorative planters, stepping stones, statuary and fountains.
3. CITY agrees to construct upon PROPERTY a block wall as described in Exhibit "A".
The construction of said block wall shall be at no cost to OWNER.
4. Upon completion of the block wall, ownership thereto shall be vested solely in OWNER.
OWNER shall, at it's sole cost and expense, repair and maintain said block wall, keeping
same in a condition comparable to the condition of such block wall at the time of its
initial construction, excepting only normal weaz and tear.
5. If all or any portion of the block wall is damaged or destroyed for any reason, it shall be
OWNER'S duty, with all due diligence, to rebuild, repair, or reconstruct said block wall
in a manner which will substantially restore it to its appearance and condition
immediately prior to the damage or destruction. Reconstruction shall be undertaken
within two (2) months after the damage occurs, and shall be completed within four (4)
months after the damage occurs, unless prevented by causes beyond the control of
O WNER.
6. In the event that OWNER fails to repair, maintain or rebuild the block wall as provided in
this Agreement, CITY may, at its sole option, repair, maintain or rebuild said block wall
at OWNER'S sole expense.
7. This Agreement shall continue in full force and effect and shall be binding upon and
inwe to the benefit of OWNER and OWIVER'S successors and assigns, as long as
OWNER or his/her successors and assigns maintains ownership of the subject wall and
the PROPERTY.
8. OWNER aerees, by the signing, acceptance and recordation of this Agreement, the terms
and conditions herein set forth shall be binding upon and inure to the benefit of OWNER
and CITY.

The provisions of this Agreement are currmlative and in addition to, and not in limitation
of, any other riehts or remedies available to CITY.
10. No supplement, modification or amendment of this Agreement shall be binding unless
executed in writing and signed by OWNER and CITY.
11. In the event that litigation is brought by any party in connection with this Agreement, the
prevailing party shall be entitled to recover from the opposing party all costs and
expenses, including attorney's fees, incurred by the prevailing party in the exercise of any
