RECOMMENDED ACTION:
Receive and consider letters of interest for filling vacancy for the position of the City Council
Member for the remainder of the unexpired term through December 2012; adopt Resolution
declaring the vacancy and the appointment of a Council Member to fill the unexpired term on
the City Council.
BACKGROUND:
At the regular City Council meeting of November 16, 2010, the City Council provided direction to
address the anticipated vacancy on the City Council as a result of Council Member Katrina
Foley winning a seat on the Newport Mesa Unified School District Board. The City Attorney
provided the City Council with a report outlining alternatives for filling the vacancy in accordance
with State law. The City Council voted 4-1 (Foley — No) to fill the vacancy by appointment. At
the regular meeting of December 7, 2010, Council member Foley announced to the public and
the City Council that it would be her final meeting and thanked members of the community, staff
and fellow City Council members for all of their support.
ANALYSIS:
Pursuant to City Council direction, Press Releases were issued on November 18th and again on
December 3rd announcing the City Council's decision and setting forth the requirements for
interested individuals to submit letters of interest by Friday, December 17, 2010 (Attachment 1).
The Press Releases were also posted and placed on the City's Website. Following the closing
deadline of 5:00 p.m. December 17th, copies of all letters of interest and resumes, if submitted,
were forwarded to the City Council. The same information was posted for the public on the
City's Website on December 17, 2010 and the information was/is available for review at the City
Clerk's Office.
The City Council did not specify any procedure for voting on the appointment. There is no
requirement that the City Council do so and absent any further direction, the Council will simply
entertain motions from its members until an applicant receives three (3) affirmative votes for
appointment. Should the City Council feel that some agreed upon process is desirable given
the number of interested applicants, the following are just a few possible options to consider.
Following the City Clerk's reading of the item and public testimony, the City Council may choose
to:
Option #1
The City Clerk announces the time and place for appointment of City Council Member and
reads into the record the names of all applicants. The Mayor opens the floor for public
comments. Following Public Comments, members of the City Council may provide comments
on applicants, qualifications and related matters. Council members draw numbers to determine
order of nominations. The first Council member in order nominates their preferred applicant.
The nomination must receive a second to be voted upon. Upon receiving a second to the
nomination, the Mayor calls for the vote. In the event a nomination does not receive a second,
the right to nominate moves to the next Council member in order of the draw. The process of
nominations and seconds continues until the City Council vacancy is filled.
Option #2
Request the City Clerk to read the names of the applicants in alphabetical order. As each name
is read, a member of the City Council may place that individual's name in nomination and ask
for a second. If the nomination is not seconded or if an applicant is not nominated, the applicant
would no longer be considered for appointment. After the names of all applicants have been
read, only those receiving a nomination and a second would be voted on. Voting would
continue until one applicant receives three (3) votes or the matter would automatically go to the
electorate on June 7, 2011
Option #3
Request the City Clerk to read the names of the applicants in alphabetical order. Each Council
Member would be asked to announce the names of those applicants he or she would consider
for appointment. There would be no limit as to the number of applicants each Council Member
could place in nomination and no priority order as to who would nominate first, second and so
on. Once a list is established consisting of the names of all nominees announced by members
of the City Council, the name of each nominee would be announced by the Mayor with a
request for a second. Those failing to garner a second would not be considered further. A final
list of nominees receiving nomination and a second would then be voted on. Voting would
continue until one applicant receives three (3) votes or the matter would automatically go to the
electorate on June 7, 2011.
Option #4
Request the City Clerk to read the names of the applicants in alphabetical order. Each
Council Member, in order of seniority, would place a name in nomination. If the nomination
receives a second, the City Council would immediately vote. If the nomination failed to receive
a second, the next Council Member in line of seniority would offer his or her nomination and so
on. The City Council could choose up front to limit the numbers of rounds of voting. If a
decision is not able to be made the matter would automatically go to the electorate on June 7,
2011.
DISCUSSION:
A total of 8 applicants have submitted City Council interest forms or letters of interest in response to
the City's press release recruitment announcements.

FISCAL REVIEW:
There is no fiscal impact on this item. However, the City Council should keep in mind that
should it be unable to appoint a qualified individual to fill the unexpired term of office under
State law (30 days from the effective date of the vacancy), a Special Election must be called.
Prior cost estimates provided by the Registrar of Voters place the cost of a Special Election at
approximately $200,000 if there are no other matters scheduled for consideration at that time.
LEGAL REVIEW:
The City Attorney's Office has reviewed and approved the attached resolution (Attachment 3).
CONCLUSION:
As noted previously, there are no specified procedures to follow in making this appointment and
the City Council has a great deal of latitude in so doing as long as the process is conducted in
open public session. The options referenced in this report are solely intended to assist the City
Council and staff has no recommendation in this regard. Staff will have a complete agenda
packet prepared should a new Council Member be sworn in and seated at your January 4, 2011
meeting.

Costa Mesa, California — The City Council of the City of Costa Mesa is currently accepting letters of
interest from residents who wish to serve on the City Council, the Planning Commission or the Parks and
Recreation Commission. There is a possibility of one (1) vacancy on the City Council. There will also be
three (3) vacancies on the Planning Commission and three (3) vacancies on the Parks and Recreation
Commission. The City Council will be making the appointments at the January 4, 2011 City Council
meeting. Individuals are requested to indicate their preference if interested in the possible City Council seat
vacancy as well as the vacancies on both commissions during this concurrent recruitment.

or act upon issues, programs, user fees, and studies pertaining to parks, recreation facilities and parkways
matters, or make recommendations to the City Council as specified in the Costa Mesa Municipal Code.

Dear Honorable Mayor and Councilmembers,
Thank you for accepting and considering my letter of interest in the City Council position. I
understand that it will be a two year term to complete the position that is being vacated by
Councilmember Foley. I sincerely want you to pick the very best candidate for the position, and to that
end I submit the following information as to why I think I am the best choice.
I am deeply concerned about the quality of life that we have in Costa Mesa. I want Costa Mesa
to continue to be a great city for the sake of our children, grandchildren and future generations. My
Son, Daughter in Law, Daughter and Grandson all live in Costa Mesa, so I have a personal investment. I
believe we are at a significant crossroads. One example of that crossroads can be seen in our
significantly declining infrastructure at a time when our revenues are low, leaving us with significant
infrastructure needs with very little General Funds to address those needs. Even with those seemingly
opposing aspects, I think we have a council that has the fortitude to do what is needed to improve that
situation and others that are impacting our quality of life. I want Costa Mesa and its culture to remain
unique and as a council member, I will work to preserve that culture. We can take what is good from our
neighboring cities and leave what isn't. I would like to contribute to that improvement and I strongly
believe I have something helpful to contribute. I bring a discerning mind and a skill at finding the middle
ground. I believe there is a right answer if we can persist in finding it. One that meets the needs of all
the citizens we serve. There are times, however, when we cannot wait for the perfect decision and I am
willing to make the hard decisions with the information we have at the time. Coupled with that, I am
willing to admit when I get it wrong, willing to compromise with my fellow councilmembers and willing
work to make it right when needed. Like you, I am not using the council as a stepping stone to some
other office. My interest at this time lies solely in serving the people of Costa Mesa.
My family and I moved to Costa Mesa in 1986 where I attended and graduated from Vanguard
University. At that time we lived on the West side in two locations. My children attended Costa Mesa
High School. While they were attending, I was an active member of the Band and Color Guard booster
club, serving in multiple board positions including Booster club president. I also served nine years on
the Board of Harbor Christian Fellowship. In 1993 we moved to Mesa North and have lived there
since. Currently I am in my second term as Chairman of the Board of the Brookhollow Owners
Association, the complex where my church is located. I also serve as Treasurer on the Board of
California Victory Church as well as Senior Elder. I believe that I have the necessary leadership,
experience and interpersonal relationship skills to be an excellent and effective City Council member.
After my children graduated, I turned my attention to City matters. I served on the
Redevelopment & Residential Rehabilitation (311) Committee until October 2010. Also one year on the
SOBECA overlay development committee. I am currently completing my four year term on the Planning
Commission, two years of which I served as Vice Chair. I believe you are all aware of my voting
record. We may not always have agreed on those decisions, but I think you will agree that they have all
received full consideration. I have always publicly supported the Council's occasional decisions to
review or overturn some of those decisions.
In addition to my community service I was a co-owner in a consulting firm for 15 years. This has
given me a great deal of experience in managing budgets, managing finances and personnel matters. I
currently work as a consultant for a Costa Mesa based company.
If appointed, my commitment to you is that I will bring an open mind to all decisions, always
doing what is best for the people of Costa Mesa. I firmly believe that government should be kept as
close as possible to the people it serves. It should be only as big as is needed to serve those people.

I submit this application in the hopes of being appointed to the vacant City Council seat. Over the past couple of years I
have demonstrated a commitment to be involved at this level. I further believe as an applicant for this vacancy I truly
represent far more of our community than any other applicant can even attempt to claim. My vote count during this
past election, although not high enough to get me elected does send a clear message that the vision I have for our City
is legitimately shared amongst many in our community and ask that my vote count is taken into consideration for my

It is no secret that I disagree with some of the decisions that are made by the Council. In my eyes this is a strength I

My education has taught me how to understand, think and solve. I am also trained to think about how concepts
progress through time. My experience at TK's Froghouse and as Math Teacher has taught me how to work with every
type of person and how to be creative with limited resources. Having run for City Council on two different occasions as

Re: City Council Application and Letter of Interest
Councilmembers
I have lived in Costa Mesa since 1985. 1 am proud to have been a longstanding resident and to
call this City my home. In the 25 years I have lived here and been part of this community, I
have seen many changes as well as improvements. It is clear there is more work to be done. I
have been involved in private volunteer service since 2000, public volunteer service since 2006,
and in service to our City (as both a Committee and Commission member) since 2008. 1 plan to
continue volunteering my time and providing service to the best of my ability. With the unique
skills and experiences I have learned — not just in public service but throughout my career since
college — I know I will be an asset to our City if appointed to the City Council. It is in that spirit
that I make this request and submit my application for your consideration.
There are several major issues facing the City now on which I would focus as a City
Councilmember. These include the following:
City Budget and Finances
The City is running a deficit and further cuts and reductions in spending need to be made. I am
not a proponent of raising revenue via tax or fee increases on the residents. I realize the
situation is complex and must be examined thoroughly and carefully. I believe I would have the
expertise, insight, and experience to play a key role in helping to find solutions.
Master of Business Administration
From a purely educational standpoint the MBA program provided me with valuable tools for
understanding business environments — notably financial matters and general management.
My emphasis at the Pepperdine MBA program was in organizational leadership and
management. I utilize these skills everyday in the conduct of my own family matters and
business as well as in my various volunteer functions.
Health Community Credit Union Board of Directors
I am the Chairman of the Board for a local credit union with over $50 million in assets. As a
Board member and Chair for the past 9 years, I have a unique understanding of accounting and
financial issues, loan matters, and budgetary concerns. I would bring this understanding antic;- '=0, E
expertise to the table as Councilmember for the City.
Contracts and Emplovees
I believe in the value of public service, and in the importance of maintaining quality police and
fire protection. And I believe that future union -based contracts should be reviewed carefully with
an eye towards the long-term fiscal effects to the City from pension liabilities and salary
requirements. As part of the budgetary and financial issues facing Costa Mesa, future
negotiations and future contracts must primarily take into account the fiscal health of our City.
With such a vast majority of our annual budget allocated towards salaries and benefits, there is
little left to perform other essential services which the residents of our City deserve — including
but not limited to road and infrastructure repair, tree planting and medianscape enhancement,
and maintenance of equipment and fixtures.
Law Degree
Beginning with my training in law school, and later as part of my responsibilities as a
Compliance Officer within the healthcare industry, I was frequently in a position to draft or
review contracts of varying types and provide my analysis and evaluation of their long-term
effects. I also participated in a number of contract negotiations between Hospital entities and
medical facilities and practitioners, as well as mediations and settlement discussions.
Leadership
Entering into contract negotiations requires understanding of the issue as well as the players.
My training and education at Pepperdine business school, experience as Chairman for my credit
union, owner and administrator of my family business, and term of service on our City's Parks
and Recreation Commission has provided me with the skill set and mindset to tackle contract
issues fairly and judiciously as required, and aggressively if needed, with a focus on the
financial results of those discussions. I will fight to not allow our City to sink further into debt or
to continue to run a deficit from year to year.
Infrastructure and Land Use Issues
I strongly believe that a percentage of our annual budget must remain set aside for expenditure
on much needed infrastructure improvements. I believe this percentage should be much higher
than it traditionally has been — perhaps approaching as much as 10% or more. Too long have
our roads and medians gone without repair, areas of the City left vacant where new trees could
be planted to enhance the beauty of our City, and vital repairs to other infrastructure delayed. I
will pledge to find ways to make this a reality.
Property Management
Prior to my service in healthcare law and compliance, I worked for about 10 years in residential
property management, after receiving my real estate license (which remains active). With my
family business I am involved with industrial property management and have been since the
early 1990s. These experiences have provided me with the knowledge base to understand
various land -use issues, many of which still face our City even as we have become almost fully
built out. We must carefully balance sensible growth and development with the needs for
beautification (trees and improvements) while not diminishing the unique feel of our community
and needs of its residents. As a Councilmember I will provide careful and thoughtful
consideration to projects and improvements, while keeping committed to our General Plan.
Homelessness
The homeless issue facing the City is bad and growing worse. Residents as well as businesses
frequently voice their concerns over the increasing presence of homeless and transient
individuals. Of particular importance is the problem at our own Lion's Park. A multifaceted
solution must be found — one that takes into account not just the ordinance and enforcement
aspect of this issue, but that also addresses some of the root causes for the transient problem
itself. We do not want to simply shift the problem from Lion's Park, for example, to another part
of the City. We must come together as a community to explore comprehensive solutions and
agree upon a plan and a timetable for implementation. The problem persists and it grows
worse; it must be addressed and soon. I will support the formation of a Task Force specifically
empowered to spearhead all efforts on this issue. I pledge to take an active and ongoing role in
this Task Force and help all involved find solutions to this important problem.
Ethical and Volunteer Governance
Of prime concern is the ongoing need for public officials to conduct themselves with the highest
levels of ethics and principles.
Compliance Officer and Ethics Lecturer
As a healthcare compliance officer, one of my unique roles was to provide ethics training to over
1800 employees annually. I am not only comfortable in a role requiring public speaking, but I

once remarked about ethics and doing the right thing, putting it simply: "don't lie, don't cheat,
don't steal." From that basic framework of simple wisdom I pledge to always treat my role with
our City — whether as a Committee member, Commissioner, or Councilmember — with the
utmost care and the highest of standards. I will recuse myself where appropriate or necessary, I
will not place myself into a position where a conflict between my duties to the City and my non -
City involvements exists, and I will not ever engage in dishonest conduct or otherwise dishonor
our City or its residents in any manner.
Community Service Voluntarism and Board of Trustees
I serve as a Trustee on the Board of Trustees for Olive Crest (Homes for Abused Children). I
have volunteered by assisting in fundraising and event planning for the organization since 2007,
and in 2010 was appointed as anew Trustee. In this role I have been fortunate enough to be
able to take steps to give back to a segment of the community. This unique opportunity has
allowed me to better understand the spirit of volunteer service, to help and serve morally and
ethically, and provide additional leadership within the organization's spheres of influence. I

I have been honored to serve as both a Parks and Recreation Commissioner as well as a

I am not new to elections or elective office candidacy. In the June 2010 Primary election I was
elected to the Orange County GOP Central Committee, for the 68th California assembly district.
The 68th district includes all of Costa Mesa (as well as Fountain Valley and parts of Garden
Grove, Stanton, and unincorporated areas). I was elected with over 11,000 votes — the 5th
highest out of the 13 candidates running (for 6 open seats). Many of those votes were from
residents of Costa Mesa that believed in my message of low taxes, limited government, and
fiscal responsibility. I pledge to remain true to those beliefs, and as a Councilmember for our
City, I will pledge to adhere to these principles in all facets of my service.

We know the community well. I am proud of this city, am invested in it, and want to contribute my time and talents to
continue to make it a great place to call home, and to hopefully make it an even better place for both businesses and
residents to call home.
Our older daughters went to public schools in Costa Mesa. One also attended Orange Coast college for three years. A
younger daughter currently attends a private school in Costa Mesa which is very active in the community. Our
youngest is enrolled in a day care in Costa Mesa. My employer resides in Costa Mesa. And our congregation is also
based in the city. Virtually every aspect of my family's life involves different communities within Costa Mesa.
My interactions with these varied Costa Mesa communities reinforces the need for effective management and
governance. I am fan of the current council, and believe that they've done a fine job with this sometimes thankless task.
Still, we face challenging times, both locally, statewide and nationally, and a certain resolve, understanding and
temperament will be required to plan for and implement actions to address these issues.

I am a professional with a law degree from UCLA and a MBA from USC. Using these degrees in my current capacity as
corporate counsel for the Auto Club, requires constant awareness of both legal and economic repercussions, similar to
those issues confronting any city.
I believe that I bring a temperament that is calm and friendly, and can work with individuals of very different ideological

and would bring this same approach to the City Council.

WHEREAS, the City Council established the date of Friday, December 17, 2010
as the deadline for submission of said letters of interest, and by said deadline received
8 letters of interest and have reviewed the qualified applicants; and
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Costa
Mesa does hereby resolve and declare as follows:
SECTION 1. That the City Council does hereby appoint
an elector and registered voter of the City of Costa Mesa, to fill the vacancy of Council
Member on the City Council of the City of Costa Mesa for the remainder of the present
term of the former incumbent Katrina Ann Foley whose four-year term expires in
December 2012.
