August 26, 2011 City of Costa Mesa Transportation Services Division Attn: Raja Sethuraman 77 Fair Drive Costa Mesa, CA 92628 Subject: Right -of -Way Appraisal and Acquisition Services for Roadway Improvement Projects on Harbor Boulevard Dear Mr. Sethuraman: • Paragon Partners Ltd. (Paragon) is pleased to submit the attached Proposal to the City of Costa Mesa (City) for right of way appraisal and acquisition services in conjunction with two separate roadway improvement projects on Harbor Boulevard. The projects, which involve street widening, including the addition of turning lanes, intersection widening and traffic signal modification, will require the acquisition of eleven partial sliver takes. Paragon proposes a team of right of way professionals that will provide the required appraisal and acquisition services in the most cost-effective, timely manner possible. Richard Adler, who has provided right of way and real property consulting services to California municipalities for over 34 years, is designated Project Manager. Mr. Adler is supported by Paragon title services and acquisition support personnel, as well as Peter Finnerty, MAI, appraisal subconsultant. Paragon, headquartered in neighboring Huntington Beach, has provided turn -key right-of-way consulting services for municipalities throughout California for 18 years. Over the years, Paragon has successfully completed similar street widening projects in the Orange County Cities of Irvine, Santa Ana, Huntington Beach, Stanton, and Lake Forest, as well as many others in Riverside, San Bernardino and Los Angeles Counties. In 2002, Paragon completed an appraisal, acquisition and right of way engineering project for the City's Newport Boulevard/Victoria Street/22nd Street Improvement Project. Acquisition included full and partial takes plus right of way acquisition for the roadway and construction easements. Paragon is a certified Woman Owned Business Enterprise and California corporation. Paragon's scope of services includes Right of Way Project / Program Management, Right of Way and Real Estate Acquisition, Relocation Assistance Services, Franchise and Permit Acquisition, Right of Way Engineering, Title Research, Asset and Property Management, Appraisal and Appraisal Review, Feasibility Studies, Due Diligence, Litigation Support, and Electronic Document and Records Management Systems. While the scope of the Request for Proposals (RFP) involves appraisal, title, acquisition and negotiation services, analysis of the project areas and the site plans suggest that Paragon could also provide consultation in the areas of right of way engineering and utility relocation. The City could save time and money by addressing potential issues early and developing alternative solutions. 5762 Bolsa Avenue, Suite 201, Huntington Beach, CA 92649 Ph: 714-379-3376 www.paragon-partners.com ` Paragon's name, which means a pattern of excellence, reflects the goal and commitment of the founders and employees to provide the highest quality services to our clients. Paragon will provide monthly project progress reports, or more frequently as the City directs. 31 Right of Way Acquisition Services —All of the services required for Negotiations/Acquisition will be provided as directed by the City. Paragon's PM will lead the acquisition efforts. Paragon's agents will conduct the acquisition of the ROW in a manner that assures that all property owners, tenants, or other stakeholders are treated with the utmost respect and dignity during the acquisition process. Paragon understands that ROW acquisition for a Project may be stressful for the property owners and has the potential for negative public relations for the City if not handled properly, professionally and with the appropriate amount of sensitivity. Paragon will conduct negotiations with each owner/ tenant as needed to ensure that they understand the process and the rights afforded to them by the laws and regulations that govern the process. They will also be advised of the City's ROW policies and procedures. Paragon has noted that three of the impacted parcels are owned by Segerstrom entities. Paragon staff has experience working with the Segerstroms on other projects. As requested by the City, Paragon will conduct initial project meetings separately with each affected property owner and applicable lessees as necessary to present the project and assess any issues relevant to the acquisition. Based on these meetings Paragon will provide an initial estimate of all acquisition costs to the City, including any severance and/or cost -to -cure expenses as may be applicable. Title Services — Paragon will obtain and review title reports and/or litigation guarantees including vesting deeds, supporting documents and plotted easements. Paragon will coordinate clearance/elimination of clouds on title where applicable. Michael Boss, Paragon's Title Supervisor, will lead the provision of title services and will coordinate closings with Old Republic Title Company, Paragon's Title Company subconsultant. Appraisal Services — Paragon's Appraisal Manager, John Hemer, will oversee the provision of appraisal services by Peter Finnerty, MAI, Paragon's proposed Appraisal Subconsultant. He will ensure that every appraisal performed complies with state guidelines, Uniform Standards of Appraisal Practice (USPAP), and the standards of the American Society of Appraisers (ASA), as applicable. The Appraisal Reports, prepared by Mr. Finnerty, will include at a minimum: ® A description of comparable sales relied upon to determine value, with supporting documentation. These would include detailed descriptions of each comparable property including use, sale price, date, location, site and building conditions, etc. ® A site description and definition of the square footage of the land to be acquired, cost -to - cure, severance, and damages to the remainder, if any. ® A statement of the value of the property rights to be acquired and a total just compensation per parcel. An appraisal summary. ® A signed certification of the appraiser and the effective date of the valuation. Peter Finnerty, MAI, along with proposed Project Manager Richard Adler, will meet with the City Project Manager on a monthly basis to review Project progress. Mr. Finnerty and Mr. Adler will coordinate and assist the City with the design to assure that the various acquisition and cost -to - cure elements pertaining to each property are incorporated in the improvements, as necessary. Mr. Finnerty will meet with City staff during the compilation and upon completion of the appraisal reports to clarify terms and approach. Offer Packages will be prepared for each parcel required for the Project after a careful review of preliminary title reports. The acquisition agents will meet and negotiate personally in good faith with each property owner, their agent or representative, and with commercial tenants or lessees at appointed times convenient for them to present offers, explain the acquisition process and gather information in order to obtain the required executed documents. If negotiations reach an impasse, the use of eminent domain may be recommended. The required justification will be submitted in writing to the City. However, our goal will be to reach a successful acceptance of the offer with each property owner. The PM will work closely with the City in recommending solutions to achieve acceptance of the offer. At the direction of the City and legal counsel, negotiations will be continued to attempt to achieve resolution after the decision to condemn has been made and up to filing of the eminent domain action. Where applicable, quitclaims will be obtained to terminate leasehold interests in addition to any other necessary title curative activities. Each acquisition agent will maintain a Parcel Diary of all pertinent information and contacts made relative to the acquisition negotiations. The Parcel Diary will be updated documenting every contact with each property owner. It will include a summary of the status of negotiations indicating the concerns of the owner, any problem areas and all of the relevant information about the status of negotiations. Paragon will coordinate the acquisition process with the City, legal counsel, property owners, the title companies, engineers and appraisers. All executed documents will be promptly transmitted to the City for acceptance and processing. A report summarizing the pertinent data relative to the transaction will be included. Condemnation Support — If negotiations reach an impasse and the use of eminent domain is necessary, Paragon will provide the supporting documentation to legal counsel including the Parcel Diary, copies of all correspondence, the Offer Package, the appraisals and environmental reports, etc., as necessary to provide counsel with a complete history of the transaction. If required by legal counsel, Paragon is available to provide expert witness testimony. City of Costa Mesa — Roadway Improvement Projects on Harbor Boulevard Page 4 Paragon Partners Ltd. The City of Irvine ("City") currently retains Paragon Partners Ltd. ("Paragon") as an on- call Real Property Consultant pursuant to a Request for Proposals for professional consulting services. Most recently, Paragon completed the appraisal, appraisal review, acquisition negotiations, and Caltrans Certification for the City's Jamboree/1-5 Street Widening Project. The project, which affected five commercial properties, had a very tight deadline. Paragon's Project Manager, Richard Adler, made it his personal goal to finalize the right of way acquisition phase of the project on time and within budget. Despite an initial rough start due to design changes, Paragon successfully fulfilled its obligations whereby the City was able to meet its schedule and preserve the project funding. Previously, Mr. Adler provided acquisition negotiation services for the City's MacArthur Boulevard Widening Project located at John Wayne Airport, in conjunction with the MacArthur/1-405 Bridge Overcrossing Project and for the City's Main Street Widening Project. In his capacity, Mr. Adler has proven to be professional, knowledgeable, conscientious and personable in his dealings with City staff and a diverse group of property owners. It is with pleasure that I recommend Mr. Richard Adler and Paragon to provide excellent and professional real estate services. Respectfully.
